We offer legal advice to domestic and foreign partnerships and corporate entities in commercial and company law issues. In doing so, it is particularly important to us to develop practice-oriented solutions that take the strategic planning and economic ideas of our client into account.
We represent shareholders, proprietors in joint-stock companies, and board members in extrajudicial negotiations and in court hearings.
Among our areas of competence in the field of company law are the following:

- Drafting memorandums and articles of association,
- Drafting agreements of the executive bodies of a company,
- Transformation of enterprises,
- Structuring acquisitions and sales of companies,
- Drafting business plans with calculations,
- Giving legal advice to the executive bodies of companies,
- Giving legal advice on alterations of capital,
- Counselling and representation in shareholders’ or general meetings, and
- Planning and implementation of corporate succession.
A special focus or our services is the provision of counselling services for clients from the trade sector. In this field, we also represent a number of mobile phone traders. The services we render for them are in particular drafting contracts and giving advice in competition law issues.
We regularly represent numerous forwarding agencies in Germany and abroad. The lawyer Mr v. Moers is also working as an author in the field of transport and forwarding law for the ‘Verkehrsrundschau’, a technical journal for goods traffic and logistics.
In addition, we responsibly supported the foundation of a new employers’ association in Cologne in the field of transport and goods forwarding. For this association, we drew up the General Terms and Conditions of Business, the use of which is recommended as a model to the member associations. Moreover, the association awards a quality seal to enterprises which fulfil certain requirements. The conditions for award of this quality seal were also developed at our law firm.
Finally, we regularly represent a large Scandinavian furniture shop.
